DigiGrowth Studio Digital Marketing Services

1. Acceptance of Terms

By accessing and using the services provided by DigiGrowth Studio ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and DigiGrowth Studio.

If you do not agree to these terms, please do not use our services or access our website.

2. Services Provided

DigiGrowth Studio specializes in comprehensive digital marketing solutions, including but not limited to:

Specific services will be outlined in individual service agreements or proposals.

3. Client Responsibilities

3.1 Information Accuracy

Clients must provide accurate, complete, and current information necessary for service delivery. This includes business information, target audience details, brand guidelines, and access credentials.

3.2 Timely Communication

Clients agree to respond to requests for information, feedback, and approvals within agreed timeframes to ensure project timelines are met.

3.3 Content and Materials

Clients are responsible for providing necessary content, images, and materials, or authorizing DigiGrowth Studio to create them on their behalf.

4. Payment Terms

4.1 Fees and Billing

Service fees are outlined in individual proposals or service agreements. Payment terms are typically net 30 days unless otherwise specified.

4.2 Late Payments

Late payments may incur a service charge of 1.5% per month on the outstanding balance. Services may be suspended for accounts past due.

4.3 Refund Policy

Due to the nature of digital marketing services, refunds are generally not provided once work has commenced. Specific refund conditions will be outlined in individual service agreements.

5. Intellectual Property

5.1 Client-Owned Materials

Clients retain ownership of their pre-existing intellectual property, including trademarks, logos, and proprietary content.

5.2 Work Product

Upon full payment, clients receive ownership of custom creative materials developed specifically for their brand. DigiGrowth Studio retains the right to use work samples for portfolio and marketing purposes.

5.3 Third-Party Materials

We may utilize third-party tools, platforms, and stock materials subject to their respective licensing terms.

6. Confidentiality and Data Protection

DigiGrowth Studio is committed to protecting client confidentiality and data privacy. We implement appropriate security measures to safeguard sensitive information and comply with applicable data protection regulations.

We will not disclose confidential client information to third parties without explicit consent, except as required by law.

7. Performance and Results

Important Disclaimer: While DigiGrowth Studio employs industry best practices and proven strategies, we cannot guarantee specific results, rankings, or revenue outcomes. Digital marketing performance depends on various factors including market conditions, competition, and algorithm changes.

We commit to delivering services professionally and in accordance with agreed specifications and timelines.

8. Termination

8.1 Termination by Client

Clients may terminate services with 30 days written notice. Clients remain responsible for payment of services rendered through the termination date.

8.2 Termination by DigiGrowth Studio

We reserve the right to terminate services for non-payment, breach of terms, or if continuation would be detrimental to our reputation or operations.

9. Limitation of Liability

DigiGrowth Studio's liability is limited to the total amount paid by the client for services in the 12 months preceding any claim. We are not liable for indirect, consequential, or punitive damages, including lost profits or business opportunities.

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures of third-party platforms.

11. Governing Law

These terms are governed by the laws of the jurisdiction where DigiGrowth Studio is incorporated. Any disputes will be resolved through binding arbitration or in the appropriate courts of that jurisdiction.

12. Modifications

DigiGrowth Studio reserves the right to modify these terms at any time. Clients will be notified of significant changes, and continued use of services constitutes acceptance of modified terms.
